Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TaxVaultAI ("Company," "we," "our," or "us") governing your access to and use of the TaxVaultAI platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Eligibility

To use TaxVaultAI, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• If using on behalf of an organization, have authority to bind that organization to these Terms

Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

Service Description

TaxVaultAI provides:

• AI-powered analysis of CRA correspondence and tax documents
• Tax optimization strategy recommendations
• Document processing and data extraction
• Client management tools
• Response letter generation for CRA correspondence

The Service uses artificial intelligence to assist with tax-related tasks. AI-generated content is provided for informational purposes and requires professional review before use.

Subscription and Payment

Free Trial

We offer a 14-day free trial for new users. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

Subscription Plans

Paid subscriptions are billed monthly or annually in Canadian dollars (CAD). Current pricing is available on our website. We reserve the right to change pricing with 30 days' notice.

Payment

• Payment is due at the beginning of each billing cycle
• All fees are non-refundable except as expressly stated
• We use Stripe for payment processing; their terms also apply
• You authorize us to charge your payment method for recurring fees

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until then. No refunds are provided for partial periods.

Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without authorization
• Upload content that infringes intellectual property rights
• Use the Service to process data for clients without proper authorization
• Misrepresent AI-generated content as human-created professional advice

Your Data and Content

Ownership

You retain ownership of all data and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

License to Us

By uploading Your Content, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you. This license terminates when you delete Your Content or close your account.

Your Responsibilities

• You are responsible for the accuracy and legality of Your Content
• You must have proper authorization to upload client data
• You are responsible for maintaining appropriate client consents
• You should maintain your own backups of important data

Intellectual Property

The Service, including its original content, features, and functionality, is owned by TaxVaultAI and protected by copyright, trademark, and other intellectual property laws.

"TaxVaultAI" and our logo are trademarks of TaxVaultAI. You may not use our trademarks without prior written consent.

Disclaimers

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless TaxVaultAI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Content.

Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may request export of Your Content within 30 days
• We may delete Your Content after 30 days
• Provisions that should survive termination will remain in effect

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). You waive any right to participate in a class action lawsuit or class-wide arbitration.

General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TaxVaultAI.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign our rights to an affiliate or successor.
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
